Welcome to Walopass ("we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Walopass platform, including our website at walopass.com, API services, and related tools (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. We may update these Terms from time to time, and continued use after changes constitutes acceptance of the revised Terms.

• "Creator" means a registered user who creates and manages a community on Walopass.
• "Member" means an end user who joins a Creator’s community and receives a wallet pass.
• "Wallet Pass" means a digital pass distributed to Members via Apple Wallet or Google Wallet.
• "Community" means a Creator’s branded group on the platform, identified by a unique URL slug.
• "Notification" means a push message sent by a Creator to Members through their wallet passes.

To use the Service as a Creator, you must create an account by providing a valid email address or signing in through a supported OAuth provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old to create a Creator account. Members must be at least 13 years old to register for a community, as verified through date of birth collection during the registration process.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.

The Walopass Creator subscription is priced at $49 per month, billed monthly. This is a flat rate that includes all features: unlimited members, unlimited notifications, Apple & Google Wallet pass generation, demographic targeting, and analytics.

Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis.

New creator accounts are covered by a no-questions 7-day refund guarantee. Refund requests made within 7 calendar days of the first successful charge are eligible for a full refund and are limited to one refund per creator account. Outside this guarantee window, fees are non-refundable except as required by applicable law.

We reserve the right to change our pricing with 30 days’ notice. Any price changes will take effect at the start of your next billing cycle following the notice period.

You agree not to use the Service to:

• Send unsolicited, misleading, or spam notifications to Members.
• Collect, store, or process Member data outside the Walopass platform without explicit consent.
• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks.
• Use the Service for any purpose that violates applicable local, national, or international laws.
• Send notifications that contain malware, phishing links, or deceptive content.

We reserve the right to suspend or terminate your account and remove content that violates these terms, at our sole discretion and without prior notice.

The Walopass platform, including its design, code, features, and branding, is owned by Walopass and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

You retain ownership of any content you upload to the Service (e.g., community images, notification text). By uploading content, you grant Walopass a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely for the purpose of operating the Service.

Wallet passes generated through the Service are created using templates and infrastructure owned by Walopass. You may use generated passes only within the scope of your community on the platform.

Creators acknowledge that Member data (including name, date of birth, gender, city, and region) is collected through the Walopass platform and is governed by our Privacy Policy.

Creators may use Member demographic data for audience management, targeted notifications, and member operations within the Walopass platform. Creators may export member CSV files from the dashboard only for legitimate community operations and in compliance with applicable privacy laws. Creators may not sell, broker, or otherwise misuse Member personal data. Violation of this provision may result in immediate account termination.

Walopass generates wallet passes for Apple Wallet and Google Wallet on behalf of Creators. Pass distribution is subject to the terms and policies of Apple Inc. and Google LLC, respectively. We are not responsible for changes to Apple Wallet or Google Wallet that may affect pass functionality.

Wallet passes are tied to the Member’s device and Walopass account. We do not guarantee delivery of passes to all devices or platforms, as compatibility depends on the Member’s device and operating system.

Creators may send up to 3 push notifications per community per day. Notifications are delivered through Apple Push Notification service (APNs) and Google Wallet API. Delivery is on a best-effort basis and we do not guarantee that all Members will receive every notification.

Creators are solely responsible for the content of their notifications. Notifications must comply with our Acceptable Use policy and all applicable laws, including anti-spam regulations.

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. Upon cancellation, your account will remain active until the end of your current billing period.

We may terminate or suspend your account immediately if you violate these Terms, engage in abusive behavior, or if required by law. Upon termination, your right to use the Service ceases, and we may delete your account data after a reasonable retention period.

Members whose Creator’s account is terminated will no longer receive notifications, but existing wallet passes may remain on their devices until manually removed.

To the maximum extent permitted by applicable law, Walopass and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify, defend, and hold harmless Walopass and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Walopass is incorporated, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
